On May 29, 2026, Mynd.ai, Inc. (“Mynd” or the “Company”) (NYSE American: MYND) filed its Annual Report on Form 20-F for the fiscal year ended December 31, 2025 (the “Form 20-F”) with the U.S. Securities and Exchange Commission (the “SEC”), and has received confirmation from the NYSE American LLC (“NYSE American”) that it has regained compliance with the continued listing requirements of the NYSE American.

On May 29, 2026, the Company issued a press release announcing the filing of the Form 20-F and the restoration of compliance. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
